- D’une manière générale, Cabinet Roux conduit ses interventions et effectue ses prestations par référence aux usages, règles et référentiels professionnels et techniques applicables à l’objet de la mission convenue.
- Pour l’exécution de la mission, Cabinet Roux, apprécie les ressources requises et fait appel à ses experts et techniciens comme à tout spécialiste de son réseau dont les compétences et la capacité d’intervention permettent de garantir les meilleures conditions de réalisation de la mission.
- L’expert ou spécialiste du Cabinet Roux en charge de la mission, dispose de l’autonomie nécessaire pour préserver sa capacité de jugement, il n’a notamment pas à rapporter ou à faire référence à des faits ou circonstances qui sortiraient du cadre de sa mission contractuelle.
- Sauf stipulation contraire, lorsque les experts du Cabinet Roux sont conduits à réaliser les investigations nécessaires à la mission ; soit par sondage (au sens statistique du terme) soit par recueil de documents auprès de tiers, tels que devis, catalogues et nomenclatures, il ne saurait être considéré qu’il s’agisse d’examen ou de vérification à caractère exhaustif. Dans ce cas, l’information fournie par Cabinet Roux est le résultat des démarches et investigations entreprises au regard du capital d’information disponible et de l’expérience de l’expert ou spécialiste en charge de la mission.
- Les experts et spécialistes du Cabinet Roux ne sont pas tenus d’assurer une présence permanente sur le site d’intervention. Leurs visites sont effectuées de manière intermittente selon le planning défini d’un commun accord avec le client et/ou ses représentants.
- L’offre de services peut prévoir que le Cabinet Roux réalisera sa mission à distance, dans le cas d’une actualisation sur pièces et après échanges et validation préalable du client, sous réserve qu’une expertise sur site ait bien été réalisée moins de 5 ans auparavant. Dans ce cas, les modalités de réalisation à distance de la mission seront définies dans l’offre de services.
- Les documents, relatifs aux engagements conclus entre le client et des tierces personnes, dont Cabinet Roux aurait connaissance ou qui lui seraient communiqués en vue de la réalisation des prestations convenues seront considérés comme l’ayant été pour information seulement, sans que cela puisse avoir pour effet de modifier l’étendue de la mission ou les obligations convenues.
V. OBLIGATIONS DU DONNEUR D’ORDRE
- dès lors que des informations et documents sont requis pour l’exercice de la mission prévue, de s’assurer qu’ils parviennent en temps utile à l’expert ou au spécialiste de Cabinet Roux pour lui permettre de remplir sa mission dans les termes convenus,
- de remettre ou de faire remettre par ses fournisseurs ou sous-traitants tous les documents de travail nécessaires à l’expert et de lui fournir toutes informations et détails complémentaires, qui pourraient s’avérer utiles, en ce qui concerne l’utilisation prévue ou la destination de la prestation demandée,
- de valider avec l’intervenant de Cabinet Roux la date proposée pour son intervention, ou en cas de désaccord, d’en faire part à Cabinet Roux dans les meilleurs délais afin qu’il soit possible d’étudier toute solution alternative. En tout état de cause, sauf cas de force majeure, le Cabinet Roux s’efforcera de trouver une date d’intervention compatible avec les contraintes de délais du client, sous réserve qu’elles aient été déclarées de manière expresse à la conclusion du contrat,
- d’identifier et de signaler à Cabinet Roux tout besoin d’utilisation d’équipements de sécurité spécifiques nécessaires à la mission ou à l’intervention, ainsi que de s’assurer que ces équipements soient mis à disposition et en bon état de fonctionnement,
- de s’assurer que toutes les dispositions de sécurité relatives aux conditions de travail, sites et équipements où interviennent les collaborateurs de Cabinet Roux sont prises,
- de faire effectuer, par du personnel dont il demeure responsable, les manipulations et manœuvres sur les installations nécessaires à l’accomplissement des interventions de Cabinet Roux,
- de prendre les dispositions nécessaires pour lever tout empêchement ou écarter toute difficulté qui ferait obstacle à la bonne exécution des prestations demandées.

- Les informations commerciales, techniques ou stratégiques concernant le client ;
- Les données sensibles relatives aux actifs ou opérations d’évaluation et d’expertise menées par le Cabinet Roux ;
- Tout document de travail établi ou fourni dans le cadre de la mission.
VI.4.2 Protection des informations sensibles
- L’utilisation de systèmes de stockage et de transmission sécurisés ;
- Des procédures internes visant à limiter l’accès aux informations sensibles aux seuls collaborateurs habilités et impliqués dans l’exécution de la mission ;
- La mise en œuvre de clauses de confidentialité strictes avec tout tiers susceptible d’intervenir dans le cadre de la mission.
VI.4.3 Obligation de non-divulgation à l’issue du contrat
VI.4.4 Exception à la confidentialité
- Sur demande des autorités compétentes ou en vertu d’une obligation légale ou réglementaire ;
- Avec l’accord écrit et préalable du client ;
- Si les informations en question sont devenues publiques autrement que par une violation des obligations de confidentialité.

- Impartialité : Toutes les prestations sont réalisées de manière indépendante et objective, sans conflit d’intérêts.
- Transparence : Les procédures et méthodes utilisées sont clairement communiquées au client, et les rapports fournis reflètent fidèlement les résultats des analyses et expertises.
- Professionnalisme : Les collaborateurs du Cabinet Roux agissent avec diligence, compétence et conformément aux standards de leur métier.

IX AUTORISATIONS DE PRISES DE VUE
- La présente autorisation est accordée sans limitation de durée.
- La présente autorisation est accordée sans contrepartie financière, de quelque nature qu’elle soit. En conséquence, le client ne pourra prétendre à aucune rémunération ni se prévaloir d’un quelconque droit à l’image du fait de la réalisation et de l’exploitation des photographies objets de la présente autorisation.
- La présente autorisation est expressément accordée tant au Cabinet Roux qu’à ses préposés ou mandataires.
X SUSPENSION DES OBLIGATIONS – FORCE MAJEURE
XI RÉSOLUTION ANTICIPÉE
XI.1 Survenance d’un cas de force majeure
XI.2 Inexécution contractuelle imputable à l’une des parties
- L’inexécution suffisamment grave d’une ou plusieurs de ses obligations par l’autre partie, devenue définitive ou perdurant au-delà de huit (8) jours calendaires ;
- Le non-respect par le client de son obligation de paiement d’une facture, perdurant au-delà de trente (30) jours calendaires à compter de la date d’exigibilité de la facture.
La résolution du présent contrat par l’une des parties interviendra de plein droit à l’issue d’un délai de huit (8) jours calendaires à compter de la réception, ou à défaut, de la première présentation postale, d’une lettre de mise en demeure adressée par l’une des parties à l’autre par lettre recommandée avec demande d’avis de réception ou tout acte extrajudiciaire, mentionnant l’intention de son auteur d’appliquer la présente clause et restée sans effet.

- à la gestion de la relation avec ses clients et prospects ;
- au traitement, à l’exécution, la prospection, la production, la gestion, le suivi des demandes et des dossiers du client ;
- à l’organisation, l’inscription et l’invitation à des événements du Cabinet Roux.
- le client exerce son droit de suppression des données, dans les conditions décrites à l’article 12.5 du présent contrat ;
- une durée de conservation plus longue est autorisée ou imposée en vertu d’une disposition légale ou réglementaire.
- pour se conformer aux procédures administratives ou judiciaires ;
- si le Cabinet Roux est impliqué dans une opération de fusion, acquisition, cession d’actifs ou procédure de redressement judiciaire, il pourra être amené à céder ou partager tout ou partie de ses actifs, y compris les données à caractère personnel. Dans ce cas, le client serait informé, avant que les données à caractère personnel ne soient transférées à une tierce partie.

I SCOPE
Our service offers are subject to these General Terms and Conditions of Sale, which shall prevail over any contractual document issued by the client.
It is expressly stated that these General Terms and Conditions do not apply to amicable loss adjustment assignments.
II NATURE OF SERVICES
Cabinet Roux provides intellectual and technical services in all areas relating to the valuation, analysis, preliminary assessment, and management of corporate tangible assets, as well as in the field of risk prevention that may affect such assets and, more broadly, the interests of businesses facing loss or litigation in the course of their activities.
Our services consist of conducting and performing advisory, technical support, and expert assignments for the benefit of our clients, aimed at achieving specific objectives set out in a service offer. This offer is based on the issue described by the client and specifies the purpose, scope, and practical implementation details of the assignment.
In addition, Cabinet Roux offers clients assistance services relating to the assessment of risks to employee health and safety, as well as the preparation of the legally required “Single Risk Assessment Document”, which refers to the « Document Unique d’Evaluation des Risques Professionnels (DUERP) mandated under French law.
The nature of the services entrusted to Cabinet Roux shall be specified in the service offer.
III FORMATION OF THE CONTRACT
The client shall place a service order with Cabinet Roux by any means, including via the contact form on the website www.cabinet-roux.com or by email to the following address: contact@cabinet-roux.com.
Cabinet Roux shall issue to the client a service offer accompanied by these General Terms and Conditions, all of which together shall constitute the “contract”. Once the service offer and these General Terms and Conditions are duly accepted by the client, the contract shall be deemed formed.
Where applicable, the service offer and these General Terms and Conditions shall cancel and replace any previous contractual document with the same subject matter that may have been signed between Cabinet Roux and the client.
These General Terms and Conditions supplement the Cabinet Roux service offer. In the event of a conflict, the terms of the service offer shall prevail.
Any request to modify the services ordered from Cabinet Roux may only be considered, within Cabinet Roux’s capabilities and at its sole discretion, if such request is submitted in writing. Cabinet Roux’s acceptance shall be notified in writing. Additional services shall be subject to an amendment to the contract and invoiced in accordance with Article 7 of these General Terms and Conditions.
IV PERFORMANCE OF SERVICES
IV.1 ADVANCE PAYMENT
Unless otherwise specified in the service offer, the client must pay a deposit, the percentage of which is set out in the service offer.
This deposit shall under no circumstances be considered as a down payment (“arrhes”). The client shall pay the deposit upon acceptance of the service offer. If the client fails to pay the full deposit, Cabinet Roux reserves the right to postpone the commencement date of the services until full payment of the agreed deposit, without the client being entitled to claim any compensation in this respect.
IV.2 PERFORMANCE OF THE SERVICES
Once the contract is formed and the deposit has been received, Cabinet Roux shall allocate the means and resources necessary to carry out the assignment within the deadlines and under the conditions defined in the contract:
- As a general rule, Cabinet Roux conducts its assignments and performs its services in accordance with industry practices, professional standards, and applicable technical guidelines relevant to the assignment.
- In performing the assignment, Cabinet Roux assesses the required resources and calls upon its in-house experts and technicians, as well as any specialists within its network whose skills and availability ensure optimal execution of the mission.
- The expert or specialist assigned by Cabinet Roux to the mission shall have full autonomy to preserve their professional judgment. They are not required to report on or consider facts or circumstances outside the scope of the contractual assignment.
- Unless otherwise specified, if Cabinet Roux’s experts are required to conduct investigations through sampling (in the statistical sense) or by collecting documents from third parties such as quotes, catalogues, or nomenclatures, such work shall not be considered as an exhaustive examination or verification. In such cases, the information provided by Cabinet Roux reflects the outcomes of investigations carried out based on available data and the experience of the assigned expert or specialist.
- Experts and specialists of Cabinet Roux are not required to be permanently present on-site. Their visits are carried out intermittently and according to a schedule agreed upon with the client and/or their representatives.
- The service offer may provide that Cabinet Roux will perform its assignment remotely, in the case of updates based on documentation, and following prior discussions and validation by the client, provided that an on-site assessment was carried out within the past five (5) years. The terms of the remote work will be defined in the service offer.
- Any documents relating to agreements entered into by the client with third parties, of which Cabinet Roux becomes aware or which are communicated to it for the purpose of performing the assignment, shall be considered for informational purposes only and shall not alter the scope of the assignment or the agreed obligations.
Each assignment will be subject to an expert report. This report will be provided to the client in digital format via Cabinet Roux’s intranet platform. From the moment it is made available, the report shall remain accessible for a minimum of five (5) years, subject to the provisions of the service offer.
V CLIENT OBLIGATIONS
The client undertakes to:
- Ensure that all required information and documents are provided to the expert or specialist from Cabinet Roux in a timely manner to enable performance of the assignment under the agreed terms;
- Provide or arrange to have provided by its suppliers or subcontractors all working documents necessary for the expert and any additional information or details relevant to the intended use or objective of the requested services;
- Confirm the proposed intervention date with Cabinet Roux’s representative or, in case of disagreement, inform Cabinet Roux as soon as possible so that an alternative can be explored. In any case, and barring force majeure, Cabinet Roux will make every effort to propose a date compatible with the client’s timeline constraints, provided these were explicitly communicated when the contract was concluded;
- Identify and inform Cabinet Roux of any need for specific safety equipment required for the mission or intervention, and ensure that such equipment is available and in working condition;
- Ensure that all safety measures relating to the working conditions, sites, and equipment used by Cabinet Roux’s personnel are in place;
- Have its own staff, for whom it remains responsible, perform any manipulations or operations on the installations necessary for Cabinet Roux’s work;
- Take all necessary measures to remove any obstacle or difficulty that could hinder proper performance of the services.
The client shall be solely responsible for the accuracy of any floor area measurements provided to Cabinet Roux, where required, unless the service offer includes a specific measurement assignment by Cabinet Roux.
Generally, when the assignment is based on information or documents supplied by the client, Cabinet Roux shall not be held liable, directly or indirectly, for any consequences resulting from inaccuracies, omissions, or errors in said information or documents.
Throughout the performance of Cabinet Roux’s interventions, the client retains the management, use, custody, and responsibility of its installations, equipment, and facilities.
VI CABINET ROUX OBLIGATIONS
VI.1 LIABILITY
Cabinet Roux is subject to an obligation of means, not of result, unless otherwise required by mandatory legal provision.
Cabinet Roux shall be liable, excluding any damage caused by the client or a third party, for any material damage suffered by the client resulting from an intentional or unintentional act by any of its employees involved in the assignment.
In any event, Cabinet Roux’s liability shall only arise in the case of proven fault or negligence and shall be limited to direct damages, to the exclusion of all indirect damages (including, but not limited to, loss of business, etc.).
Cabinet Roux’s commitment shall not extend beyond the technical data and deliverables set out in the service offer, produced by its experts and specialists in response to the questions and objectives defined in the offer.
VI.2 WARRANTY
Within a maximum period of sixty (60) days from the date of delivery, and upon the client’s express and substantiated request, Cabinet Roux undertakes to correct, at its own expense and promptly, any objective and factual defect or error affecting the deliverables. This includes, but is not limited to, errors in data preparation or production, including inventory results or valuations, where such errors compromise the intended purpose or use of the deliverables in view of the contractual objectives—provided the errors are not attributable to the client or a third party.
If a claim is made after the 60-day period following delivery, Cabinet Roux may propose corrections, which may be subject to additional charges upon mutual agreement.
VI.3 DATA OWNERSHIP
Cabinet Roux retains ownership of the evaluation data resulting from its assignment.
Upon full payment of the service price, including all principal and ancillary amounts, the client shall acquire a right to use such data for its internal needs and in connection with its insurer.
The client is prohibited from transmitting any evaluation data to third parties, except to its insurer, without Cabinet Roux’s prior written consent.
The client is informed that evaluation data resulting from the assignment may be used and transferred by Cabinet Roux, once anonymized.
VI.4 CONFIDENTIALITY AND ETHICS
VI.4.1 Confidentiality
All Cabinet Roux employees are bound by professional secrecy and shall not disclose or share with third parties any information, documents, or data relating to the client without the client’s prior written consent. This obligation includes, but is not limited to:
- Commercial, technical, or strategic information about the client;
- Sensitive data related to the assets or valuation operations conducted by Cabinet Roux;
- Any working documents created or provided in the course of the assignment.
Likewise, the client is bound by the same confidentiality obligations regarding the methods, processes, documents, or information provided by Cabinet Roux and shall take all necessary measures with its personnel, partners, or agents to ensure confidentiality is maintained.
Subject to Article 6.3 above, the client is also required to maintain confidentiality over the evaluation data.
VI.4.2 Protection of Sensitive Information
Cabinet Roux implements all reasonable technical and organizational measures to ensure the security of transmitted and processed information, including:
- Use of secure storage and transmission systems;
- Internal procedures limiting access to sensitive data to only authorized personnel involved in the assignment;
- Execution of strict confidentiality agreements with any third parties involved in the assignment.
VI.4.3 Post-Contract Non-Disclosure Obligation
The confidentiality obligations outlined in this section shall remain in force throughout the duration of the contractual relationship and shall survive for a period of five (5) years following termination of the contract, regardless of the reason.
VI.4.4 Exceptions to Confidentiality
Confidential information may be disclosed in the following cases:
- Upon request from competent authorities or pursuant to a legal or regulatory obligation;
- With the client’s prior written consent;
- If the information becomes public other than through a breach of confidentiality obligations.
VI.4.5 Ethical Commitments
Cabinet Roux commits to the following ethical principles in the performance of its assignments:
- Impartiality: All services are carried out independently and objectively, free from conflicts of interest;
- Transparency: All methods and procedures used are clearly communicated to the client, and reports accurately reflect the results of the analyses and assessments;
- Professionalism: Cabinet Roux’s staff perform their duties with diligence, competence, and in accordance with professional standards.
VII FEES – PAYMENT TERMS – PENALTIES – LIQUIDATED DAMAGES CLAUSE
VII.1 FEES – PAYMENT TERMS
Cabinet Roux’s remuneration is either a flat fee or proportional, as specified in the service offer.
It is calculated based on parameters defined in the service offer, depending on the nature and duration of the assignment or the stakes involved in the expected outcome.
The total price (fees, expenses, and incidentals) is stated in the service offer.
Remuneration for services not initially provided for in the service offer—including any extension of the assignment’s scope or services outside the original scope—shall, unless otherwise agreed in the service offer, be invoiced at a flat rate of €1,200 (excl. VAT) per intervention day. A time report detailing time spent on the assignment will be provided upon written request by the client. Extension of scope refers to the addition, by mutual agreement, of one or more sites or an increase of more than 20% in the total declared surface area. This rate applies per member of Cabinet Roux’s staff or representative involved. It includes all necessary tasks such as technical assessments, cost estimates, travel, and meetings.
Payment of Cabinet Roux’s invoices is due immediately unless specific provisions in the service offer state otherwise.
All invoices must be paid within eight (8) days of the invoice date, by bank transfer or cheque, to the account specified on the invoice.
VII.2 LATE PAYMENT PENALTIES – LIQUIDATED DAMAGES
In the event of late payment, late fees shall automatically and without notice accrue to Cabinet Roux from the day following the due date. These penalties shall be calculated at the interest rate applied by the European Central Bank to its most recent refinancing operation, increased by 10 percentage points.
Additionally, in the event of late payment, the client shall owe Cabinet Roux a fixed recovery fee of €40. If recovery costs exceed this amount, Cabinet Roux may claim additional compensation, upon proof.
If the client fails to pay all outstanding amounts within one month of the due date, they shall owe Cabinet Roux a lump-sum penalty equal to 10% of the outstanding (excl. VAT) amount. This penalty shall be payable automatically and without prior notice.
VIII CONDITIONS FOR ACCESS TO THE ASSESSED PROPERTY AND RIGHT OF WITHDRAWAL
For the assignment to be performed, the Assessed Property must be accessible and safe. Cabinet Roux reserves the right to withdraw—i.e., immediately suspend or terminate the assignment—if the site access conditions pose a health or safety risk to its personnel. In such case, the client may not claim any compensation. Cabinet Roux will inform the client in writing of any suspension or interruption.
To continue the assignment, the client must notify Cabinet Roux of any specific safety equipment required. These costs will be borne exclusively by the client.
If access remains impossible due to safety conditions not being met, the contract will be automatically terminated following the sending of a registered letter with acknowledgment of receipt by Cabinet Roux, effective on first presentation. Work already performed will be invoiced on a per-day basis, as per Article 7.1.
IX PHOTOGRAPHY AUTHORIZATION
The client expressly authorizes Cabinet Roux to photograph the Assessed Property and to use or reproduce said photographs in connection with the agreed expert assignment.
Cabinet Roux expressly agrees not to use or reproduce the photographs for any purpose unrelated to the contract.
This authorization is granted under the following terms:
- It is granted for an unlimited duration;
- It is granted without any financial consideration. The client waives any claim for compensation or image rights related to the photographs taken;
- The authorization applies to Cabinet Roux and its employees or representatives.
X SUSPENSION OF OBLIGATIONS – FORCE MAJEURE
The parties agree that their respective obligations shall be automatically suspended in the event of force majeure as defined by law and case law, or in the event of a particularly serious external event such as social unrest, protest, blockade, strike, lockout, riot, pandemic, war, or natural disaster.
Such suspension or delay shall not entitle either party to claim damages or late penalties.
The affected party shall notify the other party without delay by registered letter with acknowledgment of receipt.
Once the cause of the suspension ceases, both parties shall make every effort to resume performance of their contractual obligations as soon as possible.
XI EARLY TERMINATION
XI.1 OCCURRENCE OF FORCE MAJEURE
If the force majeure event or similar occurrence as defined in Article 10 becomes permanent or causes a delay that prevents continued performance of the contract, either party may terminate the contract by sending the other party a registered letter with acknowledgment of receipt.
Termination shall take effect automatically on the date of first presentation of that letter.
XI.2 BREACH BY ONE PARTY
The contract may be terminated at any time by either party in the following cases:
- Material breach of one or more obligations by the other party, which becomes permanent or continues for more than eight (8) calendar days;
- Failure by the client to pay an invoice within thirty (30) calendar days of the due date.
Termination will take effect automatically eight (8) calendar days after receipt—or, failing that, after first presentation—of a formal notice sent by registered letter with acknowledgment of receipt or by extrajudicial act, stating the intent to enforce this clause and which remains unheeded.
XI.3 HARDSHIP (IMPRÉVISION)
The parties may agree to terminate the contract by mutual consent if unforeseeable circumstances at the time of signing make continued performance excessively burdensome for one party, in accordance with Article 1195 of the French Civil Code.
XI.4 CONSEQUENCES OF EARLY TERMINATION
If the contract is terminated early by Cabinet Roux due to the client’s fault, the client remains liable for the full agreed remuneration.
If termination is due to a force majeure event or similar situation under Article 10, Cabinet Roux shall invoice the services already rendered at the daily rate of €1,200 (excl. VAT) provided in Article 7.1.
XII PERSONAL DATA
XII.1 When the client signs this contract, their personal data is collected. The data collected includes:
- Full name, address, phone number, and email address of the client.
XII.2 The personal data is processed by Cabinet Roux for the following purposes:
- Marketing and business development;
- Client and prospect relationship management;
- Handling, execution, marketing, production, and monitoring of client requests and files;
- Organizing and managing Cabinet Roux events.
XII.3 Cabinet Roux retains the data only as long as necessary for the purposes for which it was collected and in compliance with applicable regulations. Data listed in Article 12.1 will be retained for three years unless:
- The client exercises their right to erasure (see Article 12.5);
- A longer retention period is required or permitted by law.
During this time, Cabinet Roux will implement all necessary measures to ensure confidentiality and security to prevent data loss, alteration, or unauthorized access.
Access to the client’s data is restricted to authorized Cabinet Roux personnel.
Except as otherwise stated, Cabinet Roux will not sell, rent, or transfer client data to third parties without prior consent unless legally required (e.g., fraud prevention, defense rights, etc.).
XII.4 Personal data may be shared with third parties in the following cases:
- To comply with legal or regulatory procedures;
- In case of merger, acquisition, asset transfer, or insolvency proceedings, in which case the client will be informed before the data is transferred.
XII.5 In accordance with French Data Protection Law (January 6, 1978, as amended) and the EU General Data Protection Regulation (GDPR, EU 2016/679), the client has the right to access, correct, delete, limit processing, or request portability of their personal data. They may also object to processing for legitimate reasons.

XIII ELECTRONIC SIGNATURE
Subject to the terms in the service offer, the parties agree to sign the contract electronically, in accordance with Articles 1366 et seq. of the French Civil Code. They agree that the electronic signature shall have the same legal effect as a handwritten signature.
XIV DISPUTES
THIS CONTRACT IS GOVERNED BY FRENCH LAW. ANY DISPUTE RELATING TO ITS CONCLUSION, INTERPRETATION, VALIDITY, PERFORMANCE OR TERMINATION SHALL BE SUBJECT TO THE EXCLUSIVE JURISDICTION OF THE COMMERCIAL COURT OF NANTES.
